1. Introduction
These Terms & Conditions govern all services provided by Sarah Jermouni, trading as SJ Consulting (jednoosobowa działalność gospodarcza, Poland). By engaging SJ Consulting — whether by signing a proposal, making payment, or requesting services — you agree to these terms. These terms apply to all clients regardless of location.
2. Services
SJ Consulting offers the following services:
- AR Health Check — a free 30-minute diagnostic call
- AR Audit Report — a full written audit of the client's AR process
- AR Process Redesign — end-to-end restructuring of invoicing and collections workflow
- Fractional AR Manager — ongoing part-time AR management on a monthly retainer
- AR Automation Setup — selection, configuration, and handover of AR automation tools
The free AR Health Check is offered as a professional courtesy. It does not constitute a binding contract, create any obligation on either party, or guarantee that an engagement will follow.
3. Proposals and Scope
Services are delivered under a written proposal or statement of work agreed between the parties before work commences. Any changes to the agreed scope must be confirmed in writing by both parties. Verbal agreements do not modify the written scope.
4. Fees and Payment
Fees are set out in the applicable proposal. Invoices are due within 14 days of the invoice date unless otherwise agreed in writing. Payment may be made by bank transfer to the account details specified on the invoice.
If payment is not received within 14 days of the due date, interest will accrue at the Polish statutory rate applicable to commercial transactions, as set out in the Act on preventing excessive delays in commercial transactions (Ustawa o przeciwdziałaniu nadmiernym opóźnieniom w transakcjach handlowych).
5. Confidentiality
Sarah Jermouni will treat all client information — including business data, financial data, customer and debtor information, internal processes, and pricing — as strictly confidential. This information will not be shared with any third party except as required by law or with the client's prior written consent. This confidentiality obligation survives the termination of the engagement.
6. Intellectual Property
All deliverables produced by SJ Consulting — including audit reports, process documents, templates, dashboards, and training materials — remain the intellectual property of Sarah Jermouni until full payment has been received for the relevant service. Upon receipt of full payment, ownership of the deliverables transfers to the client.
SJ Consulting retains the right to use anonymised methodologies and frameworks for future client work.
7. Limitation of Liability
Sarah Jermouni's total liability to the client for any claim arising from or in connection with the services — whether in contract, tort, or otherwise — is limited to the total fees paid by the client for the specific service giving rise to the claim.
SJ Consulting does not guarantee specific financial outcomes, including but not limited to reductions in DSO or amounts recovered. Results depend on the client's own processes, cooperation, and implementation of recommendations.
SJ Consulting is not liable for indirect or consequential losses.
8. Client Cooperation
The client agrees to provide timely access to the data, systems, and personnel reasonably required for SJ Consulting to perform the services. Delays caused by the client's failure to provide required access may affect delivery timelines and do not entitle the client to a fee reduction.
9. Termination
Either party may terminate a Fractional AR Manager retainer arrangement by giving 30 days' written notice to the other party.
For project-based services (AR Audit Report, AR Process Redesign, AR Automation Setup), cancellation after work has commenced will be subject to payment for work completed to date.
Either party may terminate immediately in the event of material breach by the other party, subject to written notice of the breach and a 7-day cure period.
10. Governing Law and Jurisdiction
These Terms & Conditions are governed by Polish law. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Wrocław, Poland.
